A public offer agreement for the provision of services is offered on the terms of a public offer  

Individual entrepreneur Sergei Otkrytyi, acting on the basis of the certificate of the National Agency of the State Register 345664934 dated 09/29/2022, Batumi, Georgia, hereinafter referred to as the “Contractor”, and an individual or legal entity, hereinafter referred to as the “Customer”, on the other hand, hereinafter referred to as The “Parties” have entered into this Agreement as follows:

1. Subject of the contract
1.1. The Contractor undertakes to provide photographic services in the form of photo sessions, thematic projects, educational lectures, including remote (webinars, online conferences and others), offered on the Contractor’s website on the Internet at: sergeiotkrytyi.me (hereinafter — “Website”) (hereinafter referred to as the “Services” or “Events”) on a reimbursable basis, in accordance with the terms of this public offer.

1.2. The current list of the Services provided by the Contractor and their cost is given on the website and is an integral part of the Agreement. The Parties unconditionally acknowledge that, regardless of the theme of the Event and the issues discussed during the Event, the Services are not psychological or psychotherapeutic assistance and are limited to providing the Customer with information and materials for independent study and use.
1.3. The Customer, who is an individual, takes part in events in accordance with the terms of this Agreement.
1.4. The Customer, being a legal entity, sends its employees to participate in the events in accordance with the terms of this Agreement.
1.5. The Customer accepts the Services provided by the Contractor in accordance with the terms of this Agreement.
1.6. The Contractor reserves the right to amend this Public Offer Agreement and other information on the

2. Procedure for concluding an agreement
2.1. This Agreement is a public agreement, according to which the Contractor assumes an obligation to provide the Services to an indefinite number of persons who have applied for the specified Services.
2.2. Publication (placement) of the text of this Agreement on the official website of the Contractor at: sergeiotkrytyi.me  is a public offer (offer) of the Contractor addressed to an indefinite circle of persons to conclude this Agreement.

2.3. The conclusion of this Agreement is made by joining the Customer to this Agreement, i.e. by accepting (acceptance) by the Customer of the terms of this Agreement as a whole, without any exceptions and reservations.
2.4. The fact of acceptance (acceptance) by the Customer of the terms of this Agreement is the execution of an application for the receipt of the Service by clicking the “Sign up” button and entering into the order form reliable information about the Customer (Customer’s name, email address, mobile phone number, as well as other information, the need to enter which 2.5. concluded upon payment.
3. Rights and obligations of the parties
3.1. The Contractor undertakes:
3.1.1. To render the Services qualitatively and in full in accordance with the provisions of the Agreement.
3.1.2. Organize the logistics of photographic services.
3.1.3. Timely inform about changes that arise during the provision of the Service: the timing and venue by publishing information on the Internet on the Contractor’s websites at: sergeiotkrytyi.me

3.1.4. Keep the Customer’s commercial secret on any issues that become known to the Contractor in connection with the Services provided, and ensure the confidentiality of personal information of participants in seminars, lectures, consultations.
3.2. The Contractor has the right:
3.2.1. Determine independently the forms, methods and ways of providing the Services.
3.2.2. Engage third parties to fulfill their obligations under the Agreement and / or use the services / works of third parties without the consent of the Customer.
3.2.3. To use the Customer’s intellectual property objects created during the term of the Agreement, as well as the materials of the objects for illustrative, demonstration and advertising purposes, including, but not limited to, publication on the Internet and use in printed materials, indicating the authorship of the work in all cases when it will be deemed possible by the Contractor.
3.3. The Customer undertakes:
3.3.1. Pay for the Services in accordance with the terms of Section 4 of the Agreement.
3.3.2. Be conscientious about mastering the content of educational programs.
3.3.3. Maintain the confidentiality of personal information of other participants in the educational process on any issues that became known to him during the training.
3.3.4. Comply with the requirements of the Contractor’s rules for students, other local regulatory legal acts of the Contractor.
3.3.5. Treat the Contractor’s property with care.
3.4. The customer has the right to receive paid services in the field of education in accordance with clause 1 of this agreement 4. Cost of services and payment procedure
4.1. The Contractor, using the network resources at his disposal, provides detailed information about the Services, as well as the rules and conditions for holding events.
4.2. The cost of the Services provided under this Agreement is determined based on the nature and duration of the Services and is reflected in the information materials published on the website.
4.3. The Contractor provides the Services on a prepaid basis.
4.4. Customers who are legal entities pay for the Services by means of a non-cash transfer of funds to the Contractor’s settlement account in accordance with the data and details specified in the provided invoice.
4.5. Customers who are individuals pay for the ordered Services by means of a non-cash bank or postal transfer of funds to the Contractor’s settlement account, according to the data and details specified in the provided invoice, as well as through bank cards using Internet acquiring services.
4.6. All costs associated with the transfer of payments under this agreement to the account of the Contractor shall be borne by the Customer.
4.7. In the event of a change in tax legislation, market conditions, as well as the introduction of additional taxes and mandatory payments, the Contractor reserves the right to unilaterally change the cost of services, of which he is obliged to inform the Customer no later than 10 (ten) calendar days before the change in cost. Changes in the cost of Services do not apply to already paid Services.
4.8. In case of financial debt of the Customer (violation of the terms and procedure for payment), the Contractor reserves the right to suspend the provision of services under this agreement.
4.9. In case of absence from the event or consultation, the cost of the missed Service is not refundable.
5. Responsibility of the parties and the procedure for resolving disputes
5.1. For non-fulfillment or improper fulfillment of the terms of the Agreement, the Parties shall be liable under the current legislation of Georgia and the Agreement.
5.2. In case of termination of the Agreement at the initiative of the Customer, the funds paid by the Customer for the Services provided are not refundable.
5.3. All disputes that arise regarding the implementation of this Agreement or related to it shall be resolved through negotiations between the Parties.
5.4. If the relevant dispute cannot be resolved through negotiations, it shall be resolved in court in accordance with the established jurisdiction and cognizance of such a dispute, in accordance with the current legislation of Georgia.
Contract time
6.1. This Agreement is considered concluded from the moment the funds paid by the Customer in payment for the Services ordered by him are credited to the account of the Contractor.

6.2. The Agreement may be terminated ahead of schedule by agreement of the Parties or unilaterally in the cases provided for by the Agreement. In case of termination of the Agreement, mutual settlements between the Parties are carried out in accordance with the terms of the Agreement.
The procedure for resolving disputes and disagreements
7.1. All disputes and disagreements that may arise from this contract or in connection with it, the parties shall resolve by agreement.
7.2. All issues arising from this agreement or related to it, which the parties cannot resolve amicably, are referred to the final resolution of the competent court of Georgia.
